Term of Use

The User Agreement set out below governs the understanding betweenPlastic Free Ocean and the use of the www.plasticfreeocean.net website on a basis known as a MOMENT OF AGREEMENT. Users are advised to read carefully because it can affect the rights and obligations of the User under the law.

By registering and/or using the www.plasticfreeocean.net site, the user is deemed to have read, understood, understood and agreed to all the contents in the MOU. This memorandum of understanding is a form of agreement as outlined in a valid agreement between the User and Plastic Free Ocean. If the user does not agree to one, part, or all of the contents of the Terms & Conditions, then the user is not allowed to use the services at www.plasticfreeocean.net. (changed to tick)

The FIRST PARTY and the SECOND PARTY are collectively referred to as the "PARTIES" and each is referred to as a "Party" .

The "PARTIES" shall first explain as follows:

  1. THAT, the FIRST PARTY as an institution with a goal of conserving biodiversity for the welfare of present and future generations works through a partnership strategy with corporations in the context of developing priority conservation programs of the FIRST PARTY, one of which is in the field of reducing the ecological footprint.
  2. WHEREAS, Indonesia is one of the main destinations for marine tourism in the world, so the FIRST PARTY established a mechanism to encourage mechanisms for reducing the ecological footprint by supporting the restriction of the generation of plastic waste through a program called PLASTIC FREE OCEAN.
  3. Whereas, PLASTIC FREE OCEAN is a mechanism to reducing the ecological footprint in which the members of PLASTIC FREE OCEAN, including the PARTIES, play a role to support the reduction of plastic waste generation.
  4. THAT, the SECOND PARTY is an institution that supports and aims to implement reducing the ecological footprint and is therefore committed to following the steps to become a member of PLASTIC FREE OCEAN.
  5. THAT THE PARTIES agree that this MOU is part of the requirements for the SECOND PARTY to be able to enter the next stage in the process of obtaining PLASTIC FREE OCEAN membership in accordance with the applicable mechanism.
  6. THAT, based on the above considerations, the SECOND PARTY Agrees to fulfill the minimum requirements to become a member of PLASTIC FREE OCEAN. Hereinafter referred to as (“Eligibility”).

Therefore, the PARTIES have agreed to bind each other in a MOMENT OF AGREEMENT concerning the process of becoming a PLASTIC FREE OCEANMember (hereinafter referred to as the "MOU OF AGREEMENT") with the following terms and conditions:

  1. Basic Memorandum of Understanding

    2. This MOMENT OF AGREEMENT is made based on the good faith of thePARTIES to become a member of PLASTIC FREE OCEAN.

  2. Implementation Coordination
    1. The PARTIES will appoint a representative from each party as the executor of this MOU.
    2. Technical matters related to the implementation of this MOUwill be continued in the Cooperation Agreement.
  3. Term
    1. This MOU is effective as of the signing of this MOU and during the validity of the Cooperation Agreements relating to reducing the ecological footprint PLASTIC FREE OCEAN.
    2. The Cooperation Agreement as referred to above is a continuation of this MOU, which consists of the PLASTIC FREE OCEAN Pre-Member Cooperation Agreement and the PLASTIC FREE OCEAN Member Cooperation Agreement along with any amendments.
  4. Confidentiality
    1. The PARTIES are bound by the mutually agreed PLASTIC FREE OCEAN Confidentiality Agreement.
    2. The Confidentiality Agreement document as referred to in Article 4 Paragraph 1 becomes an inseparable part of this MOU.
  5. Termination of the Memorandum of Understanding

    6. This MOU may be terminated before the expiry period, in the event that:

    1. THE PARTIES/one of the Parties has ceased to reach agreement on one or more of the articles contained in this document.
    2. There is a change in the name, legal status and or ownership structure of the company/organization of the PARTIES/one of the Parties which results in changes in the form, objectives and activities of the PARTIES which subsequently affect the cooperation of the PARTIES in PLASTIC FREE OCEAN.
    3. THE PARTIES/one of the parties may make exceptions to paragraph 1 by providing clear and accountable reasons.
    4. The termination as referred to in paragraph (1) must be notified in writing. If within 10 (ten) working days after the written notification is sent, there is no response or improvement from the other party, this MOU will automatically end.
    5. In the event that the signing of the Cooperation Agreement has been made, the termination of this MOMENT OF AGREEMENT refers to the article in the Cooperation Agreement concerning Termination of the Agreement.
  6. General Terms

    7. This MOU is subject to the prevailing laws and regulations in Indonesia.

    1. Everything that has not been regulated in this MOU or any amendment to this MOU, if deemed necessary by both parties will be regulated in an Addendum or through amendments to this MOU and is an integral part of this MOU.
    2. This MOU is made in English and Indonesian. In the event that there is a difference in interpretation of the provisions in this MOU, then the Indonesian language will prevail.
    3. If at a later date there is a difference in the interpretation of the implementation of the provisions in this MOU, the MOU agree to resolve it by deliberation within a period of 30 (thirty) calendar days.
